How to Establish a Gōdō Kaisha (Limited Liability Company / LLC): Process, Required Documents, and Fees

Gōdō Kaisha Establishment Process
- Determine the basic details.
- Company name (or trade name).
- Business purpose or business objectives.
- Head office location.
- Investors (members) and the amount of capital contribution.
- Selection of executive members.
- Setting the fiscal year-end.
- Draft the articles of incorporation.
- Notarization by a notary public is not required.
- Include the following details:
- Trade name
- Purpose
- Head office location
- Names and addresses of members
- Amount of capital contribution
- Executive member / Representative member
- Fiscal year-end
- Method of profit distribution (optional)
- Payment of capital contribution.
- Deposit the capital contribution into the representative member’s personal bank account.
- Submit a copy of the bank passbook (front cover and the deposit record page) at the time of registration.
- Application for establishment registration (Legal Affairs Bureau).
- Submit the application to the Legal Affairs Bureau with jurisdiction over the head office location.

Since a Gōdō Kaisha (LLC) does not require notarization by a notary public, its establishment costs are lower than those of a Kabushiki Kaisha (corporation).
